Thank you for your interest in becoming a Taran Tactical Innovations firearms dealer. As one of our firearms dealers you will have access to discounted gunsmithing services and manufactured firearms according to the tiers listed.

Terms and Conditions

The following terms and conditions shall apply to all purchase transactions made by the dealer/applicant identified on the dealer application to which these terms and conditions are attached and made a part (the “Dealer”): 

1. Resale: Dealer is purchasing for re-sale (at retail) purposes only. Dealer agrees to obtain and maintain a state resale (sales tax) number and certificate in the state in which Dealer conducts its business

2. Product: Taran Tactical Innovations reserves the right to set and change Taran Tactical Innovations Product prices and change or modify the design of or discontinue, any Taran Tactical Innovations Product at any time or to add Taran Tactical Innovations Products at any time.

3. Order & Payment Terms: Schedule A hereto sets forth Taran Tactical Innovations’ Dealer Program terms including purchase volume requirements to qualify for each tier, discounts applied to each tier, and payment terms.                                                                  

4. Dealer Responsibilities and Obligations: During the term of this agreement, Dealer agrees to and accepts the following responsibilities and obligations and represents that the requirements below are all met as of the date this agreement is signed.

a. Dealer shall obtain and maintain all necessary federal, state and municipal business licenses and permits for its retail firearms and/or related accessories business.

b. Dealer agrees to maintain a thorough knowledge of, and to fully comply with, all applicable, current, federal, state and local regulations.

c. Dealer agrees to promptly notify Taran Tactical Innovations in the event of any revocation of its FFL or any other required business license.

d. All information included on this form is true and accurate.

e. Dealer will maintain sales information for all Taran Tactical Innovations Products, including the serial numbers of firearms sold, dates of sale, and identity of purchasers, and upon request make this information available for review by Taran Tactical Innovations, its designees, and to the extent required by law, authorized law enforcement and regulatory representatives.

f. Dealer will not sell any Taran Tactical Innovations Product to another Dealer or entity/person for further resale to an end user.

g. Dealer will not make and will take reasonable efforts to ensure no employee makes statements, written or otherwise, that are detrimental to Taran Tactical Innovations in any way, and agrees that it shall not engage in social media conduct or any other public or private behavior that might cause embarrassment, negative publicity, or harm to Taran Tactical Innovations’ image or representatives.

h. Dealer will not utilize online marketing, advertising, or promotion for any Taran Tactical Innovations Product that the Reseller does not actually have in stock and available to ship unless the item is clearly marked as “Not in Stock”. Dealer can add language indicating the item is available for pre-order or available for order.

i. Dealer will notify Taran Tactical Innovations immediately of any known violation of this agreement

5. Returns: Dealer agrees not to return any firearms to Taran Tactical Innovations without prior authorization, and subject to a 10% re-stocking charge. Any defective firearms are to be returned in accordance with our warranty and return policy

6. Warranties: Our firearms come with a limited lifetime warranty. In the event any issues arise with any of our firearms, please return to us and we will repair the firearm in a timely fashion. If any additional work is performed on the firearm not done by Taran Tactical Innovations, (i.e., installation of aftermarket parts, cerakote, barrel porting, etc.) the warranty will effectively be voided.

7. MAP Pricing Policy: Dealer agrees to MAP of no less than 3% below and/or 7% above Taran Tactical Innovations advertised retail prices.

8. Term; Termination: Unless terminated earlier as provided herein, this agreement shall have a term extending from the effective date of this agreement for a period of twelve (12) months thereafter. This agreement may be renewed by mutual written agreement.

a. This agreement may be terminated at any time by either party upon 30 days written notice which can be delivered via email by Taran Tactical Innovations to the email addresses listed on Dealer’s application and by Dealer to Taran Tactical Innovations at firearms@tarantactical.com.

b. This agreement may be terminated by Taran Tactical Innovations immediately (and termination will be effective upon written notice delivered via email) upon the occurrence of any of the following events:

i. Dealer breaches any provision of this agreement.

ii. Dealer fails to make timely payment of amounts owed to Taran Tactical Innovations.

9. Obligations upon Agreement Termination or Expiration:

a. Dealer shall promptly pay all amounts owed to Taran Tactical Innovations within 15 days of termination or expiration of this agreement.

b. Unshipped orders will be cancelled with no liability to either party.

c. Each party understands that the rights of termination hereunder are absolute, that there is no automatic renewal, and that it has no rights to a continued relationship with the other after termination. Neither party shall incur any liability whatsoever for any damage, loss or expenses of any kind (including, without limitation, damage to or loss of goodwill or investment) suffered or incurred by the other (or for any compensation to the other) arising from or incident to any termination by such party (or expiration) that complies with the terms of the agreement whether or not such party is aware of any such damage, loss or expenses.

10. Confidentiality: The parties agree that they will not disclose the terms and information included in this agreement or information related to Taran Tactical Innovations’ Dealer Program and MAP Policy to any person other than their employees or agents as needed to fulfill the terms of this agreement. The parties will ensure that their representatives are informed of the confidential nature of the information they receive regarding the agreement and that they must maintain its confidentiality. This provision shall survive the termination or expiration of this agreement.
